Terms of Service
Effective date: October 15, 2026. Last updated: October 20, 2026.
These Terms of Service (the "Terms") are a legal agreement between you and AltoTech USA LLC d.b.a. Yoatu.com, a Florida limited liability company ("Yoatu", "we", "us" or "our"), and govern your use of yoatu.com and the related services (the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is part of these Terms. If you are using the Service on behalf of a business, you confirm that you are authorized to bind that business, and "you" means that business.
Please read section 12 carefully. It requires that disputes be resolved by individual binding arbitration and waives the right to a jury trial and to participate in a class action, unless you opt out.
1. The Service
Yoatu gives your business a public profile page, QR codes that lead to it, and reports on how those codes are used. Visitors reach your profile by scanning a code or opening a link; they do not need an account. We may add, change or remove features over time. We will give reasonable notice of changes that materially reduce the Service, except where a change is needed for security or legal reasons.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract to use the Service.
- You sign in with a single-use code or link sent to your email address. There is no password. You are responsible for keeping access to that email address secure and for everything that happens under your account. Tell us at once at support@yoatu.com if you believe your account has been accessed without authorization.
- An account can manage several businesses, each with its own trial and subscription. You must give us accurate information and keep it current.
- Transferring a business. You may transfer a business to someone else in Settings. You confirm the transfer from your email, the new owner accepts it from theirs, and you can still cancel for 24 hours after they accept. Once it completes it cannot be undone: the business, its content, codes, reports, locations and Handle belong to the new owner's account, and these Terms apply to them. A paid subscription moves with the business through the period already paid, with no refund to you; to keep it running after that, the new owner adds their own payment method. Your invoices, payment method and any coupon stay with you; a business on a free-of-charge coupon plan cannot be transferred. If it was the only business on your account, your account closes when the transfer completes.
3. Your content
- Ownership. You keep all rights to the content you publish through the Service: your name, logo, descriptions, links, hours, addresses and anything else you enter ("Your Content").
- License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, adapt (for example, resize your logo) and distribute Your Content as needed to operate and improve the Service, including showing it on your public profile, in the Yoatu directory if you have enabled listing, in contact cards visitors download, and in search engine results if you have enabled indexing. This license ends when you remove the content or close your account, except for copies that visitors have already downloaded or that remain in backups for the retention period in our Privacy Policy. We will not use your name or logo in our own marketing without your permission.
- Your responsibility. You are solely responsible for Your Content and confirm that you have the rights to publish it and that it is accurate and lawful. We do not review or endorse Your Content.
4. Acceptable use
You may not use the Service to:
- publish content that is unlawful, false, misleading, defamatory, obscene, hateful or harassing, or that infringes anyone's intellectual property, privacy or other rights;
- impersonate another person or business, or claim a name you have no right to use;
- send visitors to malware, phishing, scams or other harmful destinations, including through a direct link, or change a linked page after it was checked so that it becomes one;
- place codes where you lack permission to place them, or in a way that violates any law or regulation;
- interfere with the Service, bypass its limits or security, scrape it, or access it by automated means other than the features we provide;
- resell the Service or use it on behalf of a business other than your own without our written consent.
We may remove content, suspend or terminate accounts, and take other reasonable action if we believe these rules have been broken. Where practical we will tell you and give you a chance to fix the problem.
5. Plans, trials and billing
- Free trial. New businesses get a 14-day free trial with no card required. During the trial you can set up to 2 locations and 10 active codes per location. Each business you add to your account has its own trial. When the trial ends without a subscription, your profile and codes go offline until you subscribe; your data is kept as described in our Privacy Policy.
- Prices. The current prices are shown on the Billing page before you subscribe: a main location, each additional location, and an optional Yoatu Handle (a yoatu.com/your-name address), each billed monthly or yearly. Yearly billing is 10 times the monthly price (two months free). Each location can have up to 10 active codes on a subscription too. Optional QR code add-ons raise this for the whole business, to 25 or 100 active codes per location, billed with your subscription at the price shown on the Billing page. Up to 10 codes per location can open your own web page instead of your profile. Prices exclude any applicable taxes, which we may add where required. We may change prices with at least 30 days' notice by email; a change applies from your next renewal after the notice period.
- Fair use. Plans are for one business's own customers. We may limit, or ask you to move to a custom plan for, use far beyond a typical local business (for example, codes made in bulk for other businesses, or traffic that strains the Service).
- Coupons. We may issue coupons. A coupon applies only as described when you apply it (for example, a discount on the Annual plan, a free first year that then renews at the regular price, or free use of the Service), only to the business you apply it to, and only one per business. Discount and free-year coupons cover the base plan (the main location) only; additional locations, a Handle and QR code add-ons are charged at the regular price. Coupons have no cash value and cannot be transferred. A free-of-charge plan granted by coupon continues while the Service operates and your account is in good standing.
- Billing. Subscriptions are billed in advance through Stripe, our payment processor, and renew automatically at the end of each period until cancelled. By subscribing you authorize us and Stripe to charge your payment method for each renewal and for any add-ons you choose. When you add a location mid-period, we show you the prorated charge before you confirm it, and it is added to your next invoice.
- No refunds. Payments are non-refundable and there are no refunds or credits for partial periods, unused time, downgrades or unused features, except where required by law.
- Cancellation. You can cancel at any time from the Billing page. Your profile stays live until the end of the period you have paid for, and then goes offline.
- Failed payments. If a renewal payment fails, we keep your profile live for a 14-day grace period and email you so you can update your payment method. If the payment is not resolved by the end of the grace period, your profile and codes go offline until you resume your subscription.
- Changes to your plan. Reducing the number of locations takes effect at your next renewal.
6. Yoatu Handles
- A Yoatu Handle (your "Handle") is an address of the form yoatu.com/your-name. Names must be 3 to 30 characters of letters, numbers and hyphens, are first come first served, and may not be a reserved word, be offensive, or infringe anyone's rights. We may release a Handle that is offensive or misleading.
- While you are completing checkout, a name you have chosen is held for you for about 35 minutes. It becomes yours when your payment is confirmed. If checkout is not completed, the name is released.
- A Handle stays yours while your subscription includes it. If your subscription ends, the name is held for you for 90 days and then released, after which another business may claim it.
- You can change or remove your Handle at any time from your workspace. Changing or removing it releases the old name immediately, without the 90-day hold, and another business may claim it. Removing it takes the Handle charge off your subscription, with a prorated credit on your next invoice; the rest of your subscription and your profile are not affected.
- If you rename, the old name is released immediately and no redirect is kept. Links you have printed or shared to the old name will stop working. QR code addresses are not affected by a rename.
- We may refuse, reclaim or reassign a name that is misleading, infringes someone's rights, or is needed for the operation of the Service. Where we do so for a reason other than your breach of these Terms, we will give you reasonable notice and a prorated credit for the Handle charge.
7. QR codes
- Each code has a permanent address at yoatu.com/q/ followed by a unique id. Codes keep pointing at your current profile while your account is active, so you can update your profile without reprinting.
- Designs. When you create a code you can choose its pattern, corner shape, color and frame, and whether it opens your profile or your own page. These are fixed once the code is created. We offer only dark colors so codes stay readable, but you remain responsible for testing a print.
- Direct links. On a paid plan you can point a code at your own secure (https) web page instead of your profile. Every scan still passes through yoatu.com and is counted. Before scans go there, and again from time to time, we check the page with an automated safety scanner (Cloudflare's URL Scanner). Until a page is cleared, or if it is flagged, scans open your profile instead. You are responsible for the page you link to and for keeping it lawful and safe; we may switch off direct links for any account, without notice, to protect visitors or the Service. Direct links stop when your plan is no longer paid (scans then open your profile, or the inactive page described below).
- Turned-off codes show visitors a short notice that the code is not active. Deleted codes stop working permanently; their ids are never reused. You are responsible for any printed materials that carry a code you turn off or delete.
- If your profile goes offline (trial ended, cancelled, grace period expired or suspended), scans show a neutral "this page is inactive" message instead of your profile.
- You are responsible for printing codes at a size and quality that scans reliably and for testing a print before ordering in bulk.
8. Reports
Reports show approximate visitor activity as described in our Privacy Policy and are intended to help you compare placements. They are estimates: automated traffic is filtered, approximate locations come from network data, and counts may be delayed or adjusted. We do not guarantee the accuracy or completeness of reports, and they should not be used as the sole basis for business decisions.
9. Our intellectual property
The Service, including its software, design, the Yoatu name and logos, is owned by us or our licensors and protected by intellectual property laws. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your business while your account is in good standing. You may use the "Powered by Yoatu" mark that appears on your profile only as the Service displays it. All other rights are reserved.
10. Termination
- By you. You may cancel your subscription at any time. You may delete a business, or your whole account, in Settings (or by writing to support@yoatu.com). Deleting takes the business offline immediately and cancels its subscription at once, with no refund for the rest of the period. You can restore it within 7 days; after that it is erased permanently, its codes stop working, and its Handle is released.
- By us. We may suspend or terminate your account if you materially breach these Terms, if we are required to by law, or if your account has been offline for 12 months after your subscription ended. We will give notice where practical. If we terminate for a reason other than your breach, we will refund any prepaid amount for the remaining period.
- Effect. On termination your profile and codes go offline. Sections 3 (license for copies already downloaded), 8, 9 and 11 through 14 survive termination.
11. Disclaimers and limitation of liability
- As is. The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, that codes will scan on every device, or that visitors will take any action.
- Limitation. To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, goodwill or data, arising out of or relating to the Service or these Terms, even if we have been advised of the possibility. Our total liability for all claims relating to the Service in any 12-month period will not exceed the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or 100 US dollars if you have paid nothing.
- Basis of the bargain. These limits are a fundamental part of the agreement between us and reflect the low price of the Service. Some jurisdictions do not allow certain disclaimers or limits, so some of these may not apply to you.
12. Dispute resolution and arbitration
- Informal resolution first. Before starting arbitration or a court case, you and we agree to try to resolve any dispute informally by sending a written description of the dispute to the other party (to us at legal@yoatu.com) and waiting 30 days.
- Binding arbitration. If the dispute is not resolved within 30 days, any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules or, for business claimants, its Commercial Arbitration Rules. The arbitration will take place in Palm Beach County, Florida, or by video or telephone if either party requests it, and may award the same relief a court could award to an individual. The Federal Arbitration Act governs this section.
- Exceptions. Either party may bring an individual claim in small claims court, and either party may seek an injunction in court to protect its intellectual property.
- Class action and jury waiver. You and we agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any class, consolidated or representative proceeding, and that there will be no jury trial. If this waiver is found unenforceable for a particular claim, that claim will proceed in court under section 13.
- Opt-out. You may opt out of this arbitration agreement by emailing legal@yoatu.com within 30 days of first accepting these Terms, stating your account email and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
13. Governing law and venue
These Terms are governed by the laws of the State of Florida and the federal laws of the United States, without regard to conflict-of-law rules. Subject to section 12, you and we agree to the exclusive jurisdiction of the state and federal courts located in Palm Beach County, Florida for any dispute that is not subject to arbitration.
14. General
- Indemnity. You will defend and indemnify us against claims, damages and costs (including reasonable attorneys' fees) arising from Your Content, your use of the Service or your breach of these Terms.
- Changes to these Terms. We may update these Terms from time to time. If a change is material, we will tell you by email or by a notice in the workspace at least 14 days before it takes effect. Continued use after that date means you accept the updated Terms. If you do not agree, cancel your subscription before the change takes effect.
- Notices. We may send notices to the email address on your account. You may send notices to us at legal@yoatu.com or at the address below.
- Entire agreement; severability; waiver. These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Third-party tools on our pages. Our public pages include an accessibility widget provided by UserWay, Inc., and our website's own pages use Google Analytics if you accept analytics cookies. These tools are provided by their makers under their own terms; how they handle information is described in our Privacy Policy and on the Cookie settings page. The accessibility widget is offered as a convenience and is not a promise that every page meets any particular accessibility standard.
- Force majeure. We are not liable for delays or failures caused by events outside our reasonable control.
- Export and sanctions. You may not use the Service if you are located in a country subject to a US embargo or are on a US government restricted-party list.
